每月准时交出完整账目
管委会马虎不得

会计与财务管理永远是高楼管理最重要的一环,往往也是产生最多争论及矛盾的源头。

要确保全盘账目管理妥当,除了要委任有会计能力的产业管理公司之外,更要确保这家公司安排适当的人选来负责这个工作。

由于管理委员会成员须对共管机构或管理机构的全盘账目负责,即使这盘账目可能是交由产业管理公司来处理,但其责任仍归共管机构或管理机构。因此,管委会对此马虎不得,并须时刻确保产业管理公司每月准时交出完整的账目。

当然,一些具有财务能力的共管机构或管理机构,甚至可能会把会计工作交由会计楼外包处理。

尽管如此,管理办公室每个月收到多少钱,而这些钱又是否悉数存入银行户头,管理委员会成员绝对要慎查。

购专业责任弥偿险

首先,管委会须确保产业管理公司有购买所需的专业责任弥偿保险(Professional Indemnity Insurance),甚至有时可能还需附加忠诚保证保险(fidelity Guarantee)或金钱保险(Money Insurance)来应付任何可能导致金钱不见的事故。

手机程式一窥收款

其次,共管机构或管理机构可以采用一些专为高楼所开发的应用程式(APP),例如CSS、Gprop、eCommunity等,让管委会成员亦能一窥管理办公室每天所收到的管理费款额,并确保这些钱如期存入管理层的户头。

今天,通过WhatsApp应用程式之便,管理职员每天都可以报上当天所收到的款额,并在钱存入银行后,把单据拍照给管委会成员过目。

一周整理每月账目

第三,管理公司必须每月在接获银行所寄来的月结单后,在一个星期内把上一个月的全盘账目整理出来,包括资产债务平衡表(Balance Sheet)、损益表(Profit & Loss Account)、现金流结算表等全部整理出来,包括让所有业主或居民过目。

财年结束结账稽查

最终,每到财政年度结束时,管理公司还要把全年的账目结算一番,包括为所有硬体资产结算其贬值数,再把全盘无误的账目交给审计司稽查,过后再通过常年大会提呈并通过。

若某个共管机构或管理机构有跟内陆税收局开档,那么这个共管机构或管理机构还必须在每年6月30日或之前,通过委任税务代理,并根据其前一年之租金收入及利息收入来结算其所应缴付的所得税,并在截止日期前缴付须缴的税务。

审计没完成拖延大会

我们经常面对一个情况,就是一些共管机构或管理机构,没有如期在指定时间内完成审计其账目,然后以此借口一直拖迟召开常年大会,以致许多改选也不能如期进行。

产业管理公司最常用的一个借口,就是因为上个财政年度的审计工作还未完成,或者审计报告还未出炉,所以管理层需要多几个月,甚至是半年或一年的时间才能召开常年大会。

一些业主不疑有他,为了确保即将召开的常年大会将有审计报告可提呈并通过,所以只好暂时忍一忍,结果最终可能导致常年大会拖迟一年半或两年才召开。

其实,任何由共管机构或管理机构召开的常年大会,可以在没有提呈审计账目或报告的情况下举办。2013年分层管理法令也没有规定,管理层若没有如期完成账目审计工作,他们无需在大会上提呈任何未经审计之账目。

业主可施压要求召开大会

只要从上个常年大会算起的15个月一过,若未见共管机构或管理机构召开常年大会,业主可以通过施压要求召开常年大会。

至于后来才完成审计的账目,则可以通过召开特别大会来接纳,或是等到下一次召开的常年大会才来通过。

我们要紧记,管委会必须最迟每15个月就召开一次常年大会。业主千万别为了让审计报告有机会在大会提呈,而让常年大会延迟召开。

职员卷款逃怎么办?

我们有时会听到一些高楼传出管理职员卷款而逃的消息,但迄今被逮捕或被提控上庭的人又有多少?到底这些人所涉及的个案,是属于盗取他人钱财、失信,还是贪污呢?

至于应交由警方来调查,或是交由反贪污委员会来处理呢?若我们投报的单位不对,这又会否影响案件的调查结果呢?

首先,我们须对案情有具体了解及研判,若属于盗取或不诚实将他人财务占为己有的行为,我们可援引刑事法典第403条文报案,要求警方调查涉嫌者及若有证据即把后者提控上庭。

一旦罪名成立,可被判不少过6个月,或者不超过5年监禁,包括施以鞭笞,甚至可被判罚款。

对于失信案,我们则可援引刑事法典第405条文,要求警方对涉嫌者展开调查及提控上庭。一旦罪名成立,他可在刑事法典第406条文下被判不超过10年监禁,包括施以鞭笞,甚至可被判罚款。关于刑事法典第403与405条文有何具体分别,您可以向律师讨教一番。

失信与贪污两码事

很多人总喜欢将偷钱、失信与贪污混为一谈。然而,贪污跟其他案件最重要的分别,就是涉嫌者是否从整个交易中获得好处。不管是回酬或是佣金,只要当事者有参与决策的过程,并影响管委会作出对其有利的决定,让他从中获得相关的利益,这就足以构成贪污罪行。

如果只是买贵了,或是货不对办,而当事者又没有从中得到好处,则不能构成贪污罪。

因此,除了要有良好的财务管理之外,管委会须建构完善的决策流程及标准作业程序,包括公开招标等,我们才能让管理层所收到的每一分钱,不会因为任何疏漏而流失。
