酒店交易“疫”流而上 (下篇)

上一篇,我们在“酒店交易疫流而上”上篇报道中提及,
酒店交易有逐步升温的趋势,
有更多的酒店待价而沽。

与此同时,当前的酒店并购出现6大现象,即(一)大酒店并购小酒店、(二)同规模酒店合并联手、(三)大财团借壳进军全新领域、(四)出租做其他生意、(五)出售部分单位予民宿业者经营,以及(六)低价收购高价卖出。

这期的下篇,我们来探讨酒店收购后的用途和部署。

收购酒店对业界来说不是新鲜事,最重要的是,收购后的部署,才是决定这间酒店往后发展的关键。

GIC房产投资集团创办人宋明威就表示,由于看好酒店业在疫后的潜能,因此不少投资者都纷纷趁低收购酒店,尤其目前的酒店售价比过去低了20至30%以上。

威廉氏达哈与王有限公司(CBRE|WTW)集团董事经理符儒仁说,短期内,更多酒店尤其是中小型酒店可能会挂牌出售,特别是那些陷入困境的业主。

脱售价勿期望过高

大马莱坊资本市场执行董事詹姆斯巴克利则指酒店目前的叫价比疫前下挫10至30%,而他强调,寻求脱售酒店的业主必须务实,在脱售价格上不能期望过高。

巴克利接受本报书面专访时指出,不少中国、香港、新加坡、中东、韩国、日本和纽西兰投资者一直积极探讨大马酒店领域的投资机会,但由于目前国门深锁,最活跃的还是本地投资者。

宋明威说,收购酒店后需要注意的是,有关酒店是否将继续沿用回原本的用途。

“有些人会利用酒店转型成为坐月中心、安老院、学生宿舍、共享生活空间等。所以投资者需要作出一番的考量。”

他接受本报访问时指出,考量的准绳除了是业者本身的成本计算、专业背景的掌握外,地点也是关键。比如,市区的酒店若想转型,月子中心、学生宿舍都可以是选项,至于郊区则适合安老院,如是旅游景区则还是以酒店为主要出发比较好。

至于共享生活空间(Co- Living)以及共享工作空间(Co-Working),则还得胥视地点主要的密集度和地方经济。

GIC是扎根北马多年的地产经纪,其中,酒店买卖投资也是他们的专项之一。

三星以下酒店更易转型

宋明威进一步指出,大城市如首都,还可以打造共享空间,因为当地人口密集,加上当地经济活跃,房价也偏高,因此共享空间无疑在这样的地方比较有市场。反之,二线城市则可能仍不够成熟。

他也坦言,其实三星及以下级别的酒店若要转型会更具伸缩性,然而三星以上级别的酒店则可能在人力、成本,及运作上面对局限,灵活性相对不如小型酒店。

再来,管理方面,他也提醒,一些投资者若想收购整栋酒店再分拆转租的话,必须得考量有关的分层地契问题,因为酒店的地契一般都是一个,若是分拆出租可能会出现问题。

“所以,若有业者想转型,或分拆出租予不同领域,如某些单位出租予月子中心,某些做安老院或学生宿舍的话,我认为地契上需要处理好。”

询及一些投资者在收购酒店后分拆给不同短租业者经营的做法, 他则提醒,其实交由一个管理单位处理会比较合适,否则会在价格上出现自相残杀的乱象,最终搞坏市场,不利于各别租户及投资者。

收购后统一经营再上市

在探讨酒店收购课题中,我们或许都会聚焦在“大吃小”、“同级合并”、“购买转租”或“趁低收购价高转售”等模式,但本报却在探讨这些现象的同时,意外发现了另一种更创意大胆,且极具市场魄力的做法——“收购/租赁-统一经营-上市”。

这种令人意想不到的发展是由本地著名的汉堡商Zamburger发起。其主要运作方式是收购市场上极需援助的酒店,然后以连锁方式营运,试图在壮大本身的资本后上市。

创办人诺里占的做法无疑在业界掀起了一股新气象,让人对酒店业未来的发展激发了许多的想象与期待。

Zamburger连锁酒店集团的发展总监谢秉益表示,由于疫情让酒店业面对压力,因此集团以“白武士”姿态收购一些继续金援的酒店。

不同的是,集团是以15年合约的方式租下这些酒店,之后再统一管理经营。

换言之,酒店业主不仅不必再承担管理费、开销,以及因疫情带来的亏损,反之还能每月定时获得租金,走出因疫情带来的窘境。

此外,集团也在能力范围能保留了职员,让这群人不至于失业。

合约15年双方无束缚

对有意投资的集团而言,他们也没有损失。第一,过去打造酒店的成本很高,如今的做法,除了能让该集团有机会在最低成本下,多元化本身的业务,同时还能在壮大资本后上市,一举站稳市场一席之地。尤为一提的是,由于彼此合约仅15年,因此双方都不会有太大的压力与束缚。

“这是一种新兴的‘合并’方式,彼此都能获益,双赢度过疫情的挑战。”

再来, 集团也希望凭借今次的收购举动,试图提升旗下酒店的形象,如,禁止赌博、淫业、毒品等不良活动的温床。不仅如此,谢秉益也透露,诺里占希望提升酒店的格局,因此尽管统一运作下的房价或许贵了一点点,但是会致力在服务与基设上做出提升,借此提高旗下酒店的规格。

“一些酒店十多年来都没有什么改进,如今资金入注后,我们能提高服务的品质以及设备,让一成不变的酒店提升本身的格局。”

放眼合并100酒店

谢秉益也是柔佛州商务酒店协会主席,在这行超过12年的他透露,截至7月上旬为止,集团已成功与全国58家酒店合并,涵盖面从北马、中马,到南马,还有一家在印尼巴厘岛。

该集团未来也将继续与其他酒店合并洽谈,放眼打造一个超过100间酒店的连锁集团。

据悉,目前这些酒店多数已开始统一化品牌,其余的酒店则预计在解禁后,逐步更换招牌。

不难发现,疫情下的酒店业仍旧具备一定发展潜能,而脑筋动得快、具有商业魄力的企业,却看到商机,甚至以大胆创新的方式逆流而上,而一旦解禁后,走得最快的必定是基础一早立好的这些投资者。

年底料放宽跨州旅游
酒店一两年内可复苏

巴克利预期,随着疫苗接种加速,我国有望年底放宽跨州及跨国旅游,酒店业预计可于未来12至24个月内复苏,而最初将由国内旅游带动。

他说,尤其是度假村和名胜酒店需求较大,预计将比商务酒店,尤其是那些依赖会议、大会与展览的酒店率先复苏,复苏力道也较为强劲。

符儒仁同样认为,基于国门何时重新开放仍是一大未知数,国内旅游业将是酒店领域复苏的唯一推手。

通过旅游业恢复

他强调,酒店业的真正复苏,必须通过旅游业的恢复和人员流动的自由来实现,而这些因素又取决于疫情和疫苗接种的有效性。

“重新开放国门或允许跨州跨县,鼓励旅游活动,以及可能获得疫情绿区之间的“绿色泡泡”助一臂之力,都将有助于酒店业复苏。”

大马莱坊研究与咨询执行董事王美珍说,泰国已从本月1日起开放普吉岛,让已完成两次疫苗接种的游客入境。越南南部的度假胜地富国岛也计划在 9 月重新开放,因为它会加大疫苗接种力度。

而在大马,浮罗交怡被选为我国第一个“绿色泡泡”计划的试点地区。

一旦岛上 80%人口完成接种疫苗,她将于 9 月重新开放。旅游、艺术和文化部(MOTAC)鉴定的其他可实行“绿色泡泡”旅游目的地,包括刁曼岛、停泊岛、迪沙鲁、云顶高原、槟城、马六甲和亚庇。

维持业务
主打美食外卖促销

玮力产业集团执行董事刘伟贤认为,虽然马来西亚的酒店有许多发展和适应的方法,但集团却从中端倪出一个商机。

这些酒店式公寓配有酒店式的预订系统,允许住户按自己的意愿办理入住和退房手续。这类似于没有固定合同而租用全套家具的房间。

此外,集团也看到越来越多的酒店主要集中在有吸引力的促销食品和饮料,以维持他们的业务。

“以前只有在餐厅用餐的环境,现在你看到很多提供免下车、外卖和送货服务,以迎合当地目标市场。”

结语:具长远发展韧性

疫情对酒店业的打击是不言而喻的,但,这不意味着这一领域就从此一蹶不振,反之若是转型得当,或是放眼其长远利益的话,目前趁低收购未尝不是投资者的一个良好选项。

当然,这过程中,有人收购后转型、有的旨在壮大自身企业、有的希望借此进军酒店业,或转租,或趁低买入再赚取售出后的价差从中牟利。

无论哪一种方案,都在在地反映出酒店业其实是一个极具韧性的领域,就看有没有人看到其中的关键,并大胆地进行投资规划。

看回目前业界的种种收购现象,或许再一次印证了商场上的一句老话:“危机就是转机”,至于你会不会是掌握机会的人,就看你运筹帷幄的本事了。
