蒲种公寓没开年会 罚RM2K

不开年会是犯法且会被罚款,
这不是“说说而已”。

近来一宗诉讼案开了国内先河,也在共管产业方面深具代表意义。

这一起诉讼案是来自于雪州梳邦再也市政厅建筑总监,援引2015年分层管理维修与管理)条例第34(2)条款,将蒲种KOI TROPIKA公寓共管机构(JMB)的8位委员,控上法庭!

原因是这8位委员,没有如期在2019年召开共管机构的常年大会(AGM)。

梳邦再也市长拿督佐哈里指出,这是国内首个市议会将共管产业委员控上法庭的案件,除了其中一位委员已经逝世,另外7位委员都在法庭上认罪,各被罚款2000令吉。

最高罚5万元&监禁3年

这意味着,各位共管产业的委员们,日后别“随便了事”,有关当局真的会采取法律行动!

若触犯2015年分层管理维修与管理条例第34(2)条款,可能会被罚款不超过5万令吉,或监禁不超过3年,或两者兼施。

佐哈里说:“我希望所有JMB和管理机构(MC)的委员们能够履行自身职责,按时召开年会,以免违法。年会是分层建筑业主一起讨论和解决问题的重要平台。”

别以为常年大会不重要,
不如期召开,随时被控!

雪州梳邦再也市政厅建筑总监最近援引2015年分层管理(维修与管理)条例第34(2)条款,针对蒲种KOI TROPIKA公寓共管机构的8位委员没有如期在2019年召开共管机构常年大会,而将他们提控上庭,并各判罚款2000令吉。

这是国内首宗有共管委员因没有召开常年大会,被控上庭及被判罚款的案例。当中被控的7人皆在法庭上认罪,而各被罚款2000令吉,另一人则因已逝世而被撤销控状。

相信此案的判决,将促使国内许多高楼或共管产业的管理委员会,今后更认真看待在指定期限内召开常年大会。

可判监禁罚款

2013年分层管理法令规定,所有共管机构或管理机构从最后一次召开常年大会算起,必须在15个月期限内召开常年大会并进行改选。任何共管机构或管理机构若没有如期召开大会,共管委员会所有成员皆可被提控,并可被判不超过3年监禁、不超过5万令吉罚款或两者兼施。

在此之前,梳邦再也市政厅建筑总监也是国内首个将未遵守分层管理仲裁庭裁决者提控上庭,并将他们判刑的建筑总监。也许,梳邦再也市政厅设有本身的推事庭,让许多案件能在最快时间内提控上庭。不过,国内许多地方议会,包括威省市政厅、八打灵再也市政厅、莎阿南市政厅亦设有本身的推事庭,但至今未见有关建筑总监把违法者提控上庭的案例。

如果这样的情况持续下去,建筑总监恐怕就会视为“无牙老虎”,难保不会有人趁机以身试法,甚至公然挑战建筑总监的权威。

不过,建筑总监往往难对共管机构或管理机构所委任,但表现不够专业甚至不负责任的产业经理采取行动,这是因为他们跟管理委员之间,仅属于合约性质的关系。

不过,若他们未能把属于共管机构或管理机构的文件或记录交出来,建筑总监可以通过向推事申请庭令,来对这些产业管理公司展开搜查或充公行动。

调查虽繁杂 总监须立威

国内许多地方议会建筑总监没将犯法者提控上庭,也许是因为法庭所判的罚款是归国库所有,而非归为地方政府的收入。

为了提控一个犯法者,建筑总监除了要开档调查之外,还要传召许多相关的人录取口供,包括搜集相关的证据作为呈堂用途,这当中涉及不少的人力、物力及行政开销。

从开档到调查到提控的过程,建筑总监须确保所有的表面证据确凿,始能取得副检察司允准将对方提控上庭。

整个过程绝对马虎不得,否则任何疑点的利益将归于被告。

除了提控上庭之外,建筑总监的另一个选择则是通过取得副检察司批准,进而对犯法者只是开罚单(Compound),而没有将他们提控上庭。在这种情况下,有关罚款的收入是归属地方议会的账户,而不必收缴国库或是州政府的统一基金。

不管是提控或开罚单,建筑总监应更加果敢地对犯法的一方采取行动,否则往后更难以让民众信服。

或许,房屋及地方政府部有必要严格下令全国所有地方议会的建筑总监,从即起对所有犯法者严格执法,包括在分层管理法令第126条文底下向推事申请庭令,或在第127条文没有申请庭令的情况底下,对犯法一方的办公地点展开搜寻及充公行动,然后再根据所搜获的证据向他们展开调查或提控等,始能取得杀一儆百的效应。

JMB线上大会引法律争议

随着政府重新实施行动管控令(MCO),这无疑让许多原订召开常年大会或特别大会的共管机构(JMB)或管理机构(MC),必须重新调整他们召开大会的时间表。

许多共管机构或管理机构所面对的最大问题,就是他们当中绝大多数的任期都已超过15个月,却一直苦无办法召开大会。

即使房屋及地方政府部早前所推出的标准作业程序(SOP),政府只能鼓励共管机构或管理机构召开线上大会,但线上大会始终有其技术上无法解决的问题,以及法律上无法克服之争议。

确保与会者身分

举个例子,若管理层通过线上召开大会,我们其实很难确实躲在荧幕后的投票人真正身分。一般上,许多人都会选择屏蔽,确保录像机不会摄录到其“庐山真面目”。然而,要召开类似大会,我们首先要确保这个人的真正身分,并确保他不会在半途开溜。

根据2013年分层法令规定,若业主本身无法出席,他可以授权委任另一人代表他出席这个大会,并在大会过程中投票。这个人必须全程参与,而不能假手于人来帮他投票。如果这个人选择用屏蔽方式参与大会,我们又如何确保这个人的真正身分呢?

其次,召开线上大会亦出现监督投票过程的难处。例如,当业主在这次大会决定要从10个候选人当中,推选5人担任管理委员。我们又要如何确保出席的业主或他们的授权代表,将不会有人投票超过所规定的5次呢?

如果当中有人投票超过5次,负责召开或主持大会者又能否即时通过系统探测到这个问题,并即时阻止整个情况失控,以免有人较后挑战大会合法性,进而导致整个大会沦为非法并须重新召开过。

到今天为止,我不晓得为何房政部表现得如此迟缓,在这个问题上似乎显得一筹莫展。由于2013年分层管理法令属于国会所通过立法,因此任何修订皆须回到国会去提呈,始能通过。

部长应冻结法令条文

房政部长绝对无权绕过国会,通过宪报颁布任何条例来修订2013年分层管理法令的任何条文。不过,部长有权通过在宪报颁布,中止或冻结任何法令条文暂时生效。

依我的看法,部长有必要暂时中止或冻结相关法令条文,让委员会任期即使超过15个月亦不会构成违法,以及大会即使改以线上方式召开,亦不会面对其合法性被质疑。

即使现在国会因紧急状态而无法召开,但部长仍可以通过首相劝告国家元首,通过御准紧急法令来修改2013年分层管理法令,否则许多委员将因为无法在15个月内召开大会,而被逼面对业主通过入禀法庭或分层管理仲裁庭来挑战其合法性的宭境。

SOP不能逾越法令

不久前,我代表某位业主出席Vista Kiara管理机构所召开的特别大会,另一位业主因迟到而被管理层以超过场地所限制的人数为由,拒绝让他进入会场出席大会。

面对这种情况,我就跟管理层争论,并告诉对方,政府配合MCO或有条件管控令(CMCO)所推出的防疫标准作业程序,完全是没有法律依据。由于这些标准作业程序没有通过宪报颁布,因此不能视为法律,亦不能以此来逾越2013年分层管理法令的各项规定。

我还告诉对方,既然政府所制订的SOP不是法律,如果这位业主符合资格却被拒出席大会,我们可以随后入禀法庭或分层管理仲裁庭来挑战这个大会的合法性。

于是,我就问管理层,何为大会现场所限制的人数?对方说80人。

我当时心想现场肯定有超过100人。如果管理层坚持不让这位业主出席,我们就会反过来要管理层把所有多余的人从会场赶出去。管理层眼看情况不妙,为了避免让整个情况愈演愈烈,最终答应让这位业主进入会场。

大会合法性或被挑战

这就是许多共管机构或管理机构所面对的两难问题,不管是召开线上大会还是线下大会,都会面对合法性有可能被人挑战的下场。一方面要控制人数来达到防疫效果,另一方面却担心有人被拒入场,愤而搞到大会沦为不合法。

如果这个共管机构或管理机构所管辖的高楼或分层建筑,业主之间向来都和谐共处而没有太多纠纷,其所召开的大会一般上都不会产生任何问题。但是,对于那些向来关系紧张,并随时会闹到剑拔弩张之大会,看来线下召开大会还是最好的选项。

建筑总监回答含糊

鉴于许多共管机构或管理机构因MCO无法如期召开常年大会,当管理层致函相关地方议会建筑总监并寻求将大会延期时,建筑总监往往给予似是而非、模棱两可的答案。

这是因为2013年分层管理法令,还是当前唯一有效的法律,而建筑总监绝不能在违背法律的大前提下,轻易批准大会一再延期。

毕竟,共管机构或管理机构,一般上都需要3至4个星期的筹备期,才能让常年大会或特大顺利召开。一般召开的大会需发出至少14天的通告,若管理层要提呈并通过附加管理条例,则需至少21天的通告。

若再加上准备大会通告、复印相关文件并将通告全面寄出去,则肯定要一个月的时间。我们往往会因为计划赶不上变化,导致辛辛苦苦所安排的大会,最后一分钟则因为MCO或EMCO等因素而告吹。

要如何一劳永逸解决这个问题?看来,房政部有必要将2013年分层管理法令某些条文松绑,或是中止或冻结让一些法律条文生效,并赋予建筑总监更多的斟酌权,否则这将导致业主跟管理层之间的关系更进一步恶化。

SOP不是管理层开大会绊脚石

随着有条件管控令(CMCO)允许各项会议可以召开以来,加上房屋及地方政府部新推出的标准作业程序(SOP),鼓励共管机构或管理机构通过网络视讯方式召开常年大会或特别大会,所有高楼或共管建筑的管理层就没有任何借口不召开或要延后召开大会。

尽管如此,大家有必要明白,房政部所制订的标准作业程序,其实是没有法律效用的。如果管理层有足够大的空间实体召开大会,那是最好不过。即使没有足够大的空间,则可以考虑租借民众会堂或酒店的会议室来召开大会。

即使管理层有意考虑以网络视讯方式召开大会,我建议最好能够同时召开实体大会,通过两者并存的方式来克服所召开大会,日后或会被一些业主挑战其合法性之问题。

毕竟,2013年分层管理法令还是唯一的法源依据,这个法令未曾赋权管理层通过网络视讯方式来召开大会。

至于实体大会,按照房政部所发布的标准作业程序,其在场人数则不能超出会场空间的50%。

即使如此,我们依然会面对同样的问题,即管理层绝不能用标准作业程序所设下的标准,来拒绝后来者进入会场并参与大会或是投票过程。

房政部应颁布宪报

我感到相当纳闷的是,为何房政部没有认真研究如何通过立法或修法的方式,来解决许多共管机构或管理机构因管控令(MCO)实行以来,一直无法如期召开大会所面对的各种问题。

房屋及地方政府部长祖莱达应能通过颁布宪报的方式,让相关的标准作业程序提升为具有法律效用的文件,再不然则是通过宪报颁布暂时中止相关法律条文的执行效用。

还有,联邦政府还可借用落实紧急状态法令的方式,通过元首御准来颁布新的法律来克服2013年分层管理法令,完全不允许通过网络视讯或其他非实体方式来召开大会的种种限制。

房政部错过了许多重要的黄金时刻,以致许多管理层趁机不召开或不断延后召开大会,避免本身因表现不良或其他因素,而面对被其他业主拉下台的危机。

事实上,随着国家安全理事会开放让CMCO地区以不超过会场空间50%的标准,以及在复苏管控令 (RMCO)地区则不受限制地召开会议以来,其实许多高楼或分层建筑的管理层今后都没有更好的借口,无限期地延后他们所应召开的常年大会或特大。

共管机构拖延开会
业主可投诉建筑总监

我近日接到一宗来自雪兰莪州适耕庄的投诉,指某共管机构尝试各种方式来延后所应召开的大会,甚至还很莫名其妙地向建筑总监反建议把原订2020年12月召开的第5届常年大会,以及2021年12月召开的第6届常年大会,将两届常年大会订在今年12月同一时间召开。

这个共管机构上一次是在2019年12月29日,照理对方最迟必须在2021年3月28日召开大会。既然雪州当前属于CMCO状态,管理层绝对没有借口不召开常年大会,而建筑总监亦没有理由不指示共管机构必须如期召开常年大会。

官员没掌握分层管理法

按照2013年分层管理法令规定,所有共管机构或管理机构每隔15个月,必须召开下一次的常年大会。更让人感到百思不解的是,为何共管机构提交给沙白安南县议会建筑总监(即县议会主席本身)的信,竟然会获得官员批以“不阻止”(Tiada Halangan)来放行?这完全反映了县议会官员对2013年分层管理法令的低认知程度,间接助使共管委员继续滥权并视法律为无物。

同样地,我也接到另一宗来自雪兰莪州士拉央某共管机构的投诉,指共管机构在2018年11月18日召开常年大会之后,迄今没有召开下一个常年大会,而共管委员当中有数人担任委员多年,甚至超出2013年分层管理法令所限制的届数,迄今仍不肯卸职。

这个案件通过其中一个业主入禀分层管理仲裁庭,将共管机构及所有14位共管委员皆列为答辩人。希望通过分层管理仲裁庭有利裁决,能促使共管机构更快召开常年大会。

为了确保共管机构或管理机构,不再尝试用各种借口来逃脱召开常年大会的责任,业主可以选择通过向各别地方政府的建筑总监投诉,或是通过入禀分层管理仲裁庭来达到这个目的。

根据2013年分层管理法令第4附表之第一部分第4条款,任何业主可以通过入禀分层管理仲裁庭,寻求谕令共管机构或管理机构召开常年大会或特大。如果共管机构或管理机构在指定期限内未召开大会,我们还可以通过向法庭申请判每一位共管委员藐视庭令,而他们甚至要面对坐牢或罚款的下场。

拥分层地契业主才能出席大会

所有管理机构(不包括共管机构)在召开大会前,管理层必须到各州土地及矿物局(PTG)或县土地局去查询其管辖分层建筑的分层地契,始能确定个别业主是否将本身产业的分层地契转移至个别名下。

这是因为所有将分层地契转至个别名下的业主,他们才有权以业主的身分出席大会,并在大会投票或被选为管理委员。至于其他没有将分层地契转移至个别名下的业主,他们则没有资格以业主身分出席大会,包括没有投票权或被推选为管理委员的权力。

除了一些比较先进州属如吉隆坡或雪兰莪,另一些州政府迄今可能还规定若要查询整个分层建筑的分层地契,管理层必须派人到土地及矿物局办公室,并在那边坐上一整天来查询并记录每个业主的资料,甚至还规定只能用手写。

如今,随着有条件管控令一来,这些州土地及矿物局,甚至包括槟城州土地及矿物局的公务员效率,不知怎地忽然间慢上好多倍。如果管理机构要靠排队预约来查询整栋楼的分层地契,相信这只会拖慢更多管理机构召开常年大会或特大的时间。其实,通过电子土地(e-Tanah)系统,各州土地及矿物局绝对能够通过电脑按键,在最快时间内把整栋楼所有业主的分层地契资料打印出来,并交给管理层去安排召开大会的工作。

我想,在疫情肆虐的当下,为了避免让更多管理机构有借口无限期延后他们所应召开的大会,各州政府应该从这方面下手,通过行政简化的方式来加速管理层查阅整栋楼宇分层地契的工作。
