附加管理条例阻公寓变民宿

联邦法院最近针对Innab Salib及另3造,就Verve Suites Mont’ Kiara管理机构起诉公寓业主非法经营民宿而上诉的个案所作的判决,无疑对国内许多高楼管理层及业主带来及时雨,势将有效阻遏更多业主将自身产业转为民宿或爱彼迎(Airbnb)来赚钱的情况。

联邦法院的上诉判决,有效解开了高楼业主及管理层向来所面对的两大疑惑:其一乃地契所列明的土地用途,是否能受到共管机构或管理机构所制订的附加管理条例(Additional By-Laws)来限制?

其二乃民宿业主所惯称的短期出租活动(Short-Term Rental),从土地法角度来看,到底是属于租约(Tenancy),还是准证(Licence)罢了?

根据判决,即使Verve Suites Mont’ Kiara之地契,有清楚列明其地段可建设商用大楼,且只是作为服务型公寓及商用单位而已。这些经营民宿的业主争论,管理层所制订的附加管理条例,不能用来否定他们可以经营民宿的权利。

何谓附加管理条例?这就是我们向来所熟悉的House Rules(内部管理条例),即用来规范每个业主在分层建筑内所可以做,以及不可以做的各项事情。

但随着2015年分层管理(维修与管理)条例于2015年6月2日(槟州是6月12日)开始生效之后,其第三附表所列明的管理条例(By-Laws),乃是所有管理层须采纳的。

By-Laws跟House Rules有何不同?其实,国内所有地方政府所制订的法律,都是称为By-Laws或所谓的Undang-Undang Kecil,即在有限范围的某个地域所实行的法律。若是槟岛市政厅所制订的法律,就只能在槟岛范围内实施。至于某座高楼所采用的By-Laws,就只能在有关高楼范围内实行。

由于2015年分层管理(维修与管理)条例,乃通过时任城市和谐、房屋及地方政府部长在宪报颁布,其自然具有地方性法律的地位。随着管理条例推出后,所有之前由发展商所制订的House Rules,就须丢入垃圾桶了。

政府条例不能修改

除了一律采纳联邦政府所制订的管理条例之外,共管机构或管理机构可通过发出21天的大会通告,通过召开常年大会或特大来采纳附加管理条例。

所谓的附加管理条例,就是除了政府所制订的管理条例之外,管理层可以针对其未尽善之处,增订其他可适用的管理条例。不过,政府所制订的管理条例,则不能被修改或删减。

管理层有权增订附加条例

虽然Verve Suites Mont’ Kiara管理机构于2017年3月25日召开特大,通过名为House Rule No. 3的附加管理条例来限制民宿运作,包括可对业主处以每天200令吉罚款,但其所通过的House Rule其实具有附加管理条例的地位。

这个附加管理条例当时获得96票赞成及4票反对而通过。

由于这个附加管理条例乃援引2013年分层管理法令第70条文制订、提呈及通过,加上1965年国家土地法典第225条文,允许有关土地租赁可使用的条件,能被其他法律所阻碍或限制。在这种情况下,管理层有权通过增订附加管理条例,来阻止或限制业主的民宿生意运作。

短期出租不属租约形式

针对短期出租活动属于租约还是准证,联邦法院根据民宿经营者所采用的Airbnb合约条款作诠释,指证这些短期出租活动只是给予住客享有入住的准证,而不是属于租约形式。

这个入住准证并未让住客享有独自占有产业空间(Exclusive Possession)的权利。

即使国家土地法典第223(2)条文允许口头形式的租约,而第224(a)条文亦允许每周更新的租约,不过,在上述案例中,民宿业者无法提出更多有利证据,来佐证这些住客享有独自占有产业空间的权利。在这种情况下,联邦法院只好判定这些民宿业者败诉,并须支付堂费予管理机构。

联邦法院另一项有趣的判决,乃是管理层针对任何违反管理条例的业主,每一次只能处以最高200令吉的罚款,而非每一天处以200令吉的罚款。若有民宿业者将某单位转作民宿租予住客3天,管理层只能处以最高200令吉罚款,而不是3天共600令吉罚款。

须长期监控或取缔

既然联邦法院作出这项对管理层利好的裁决之后,管理层又要如何对这个问题对症下药呢?即使有联邦法院所做的决定,这不代表非法民宿业者就会在一夜之间消失,而长期的监控或取缔行动还是有必要的。

首先,当然是要先针对个别的分层建筑,增订适用于管制非法民宿活动的附加管理条例,同时赋权管理层或保安人员能采取有效的执法行动,来对付或取缔非法的民宿活动。

这些新增订的附加管理条例,须符合2013年分层管理法令第70(2)条文所划出的范畴,同时须尊重或保障业主、租户及访客所应享有的基本权利。

最重要的是,除非相关活动干扰或影响到其他邻居的居住安宁,否则管理层没有太大的权力来干预每个单位内所发生的任何事情。

即使有了附加管理条例,管理层最多只能采取事后罚款行动。若民宿业者对这些罚款视若无睹,并继续我行我素,管理层看来有必要考虑另外两种方案,其一是通过入禀法庭申请禁令,全面禁止整座大楼的任何单位转作非法民宿。

其二则是通过配合各别地区的县市议会,通过跟地方政府的执照部门配合,对这些非法业者或单位业主采取执法行动,包括对他们开罚单,或将他们直接提控上庭。

每个地方政府都有制订管制生意或贸易活动操作的法律,他们可以这项法律来对违法的业者或业主采取行动。一旦罪名成立,他们将面对罚款、监禁或两者兼施。

若相关地方政府不愿采取执法行动,管理层或其他业主可考虑通过入禀法庭,对这些地方政府所做的决定申请司法检讨。通过司法检讨的程序,我们可寻求高庭检讨地方政府没有执行其法定权力的决定,进而逼使地方政府必须尽快出手,以还给其他业主一片宁静的居住空间。

管理机构需采用新管理条例

在2015年分层管理(维修与管理)条例第3附表所推出的管理条例(By-Laws)之前,所有共管机构(MB)或管理机构(MC)皆须沿用发展商在售卖时,连同买卖合约所附录之内部管理条规(House Rules)。

由于个别发展商所制订的内部管理条规标准不一,导致管理层在管理不同楼宇时皆会面对标准不一的问题。这当然包括各别采用不同的作业程序、不同的罚款标准,以及针对同一个情况可能会给予不同的处理方案。

从2015年6月2日(槟城州则从2015年6月12日)开始,所有分层建筑的管理层皆可把发展商之前所制订(包括管理层本身所修订)的内部管理条规丢入垃圾桶;从这天开始,不管您喜欢与否,所有管理层皆须采用2015年分层管理(维修与管理)条例第3附表之管理条例。

这个管理条例共有30条,涵盖管理机构的功能、如何应对拖欠管理费之业主、管理层处以罚款之权力、业主之责任及限制、移除干扰、建筑物外观之规定、储存易燃物或爆炸品、害虫控制、畜养宠物、晒衣、共管产业之管理、移除障碍物、侵占共管产业、共用家具及装置、交通工具、固体废料之处理、装修及维修工程之限制等。

总体而言,这个新的管理条例近乎概括分层管理之层层面面。由于2015年分层管理(维修与管理)条例乃通过时任城市和谐、房屋及地方政府部长,于2015年5月26日通过宪报颁布,其地位相等于一般地方性的法律,没有任何管理层有权拒绝采用这套管理条例。

根据2013年分层管理法令第70条文规定,任何在同个法令第150条文底下通过颁布条例所推出之管理条例,将对所有分层建筑或地段及共管产业有其约束作用。

不过,若管理层要通过召开常年大会或特大来增订附加管理条例,则必须给予21天的大会通告,通过提呈特别提案来增订附加管理条例;这类提案必须获得四分之三业主之有效票同意始能通过。

可增订不允许删除

2013年分层管理法令有规定,管理层只可以针对下列范畴增订附加管理条例:

(a) 安全及保安措施;

(b) 针对共管产业限制其用途之详情;

(c) 畜养宠物;

(d) 停放交通工具;

(e) 楼层之地面;

(f) 垃圾控制;

(g) 个人行为;

(h) 所有业主须遵守之建筑设计及造景指南;以及

(i) 对任何业主、住户或访客违反管理条例处以不超过200令吉罚款。

除了上述范畴,管理层不可通过增订附加管理条例来推出其他限制,例如一个单位可住多少个人。尽管如此,管理层可以通过行政作业指南来限制每个单位最多可获发出多少张门禁卡。

除了通过召开大会来增订附加管理条例,管理层绝不允许删除政府统一制订的管理条例。举个例子,管理条例第14(1)条款允许业主畜养不会干扰到其他业主,或危其他业主性命安全或健康之宠物;管理层就不能将这个条款删除,进而全面禁止业主畜养宠物。

至于发展商之前跟购屋者所签订的大厦公契(Deed of Mutual Covenant),通常用来规定居住在分层建筑内可做与不可做之事宜,并以保障发展商的利益居多,这类契约将在2013年分层管理法令第149条文底下视为无效。

不过,若管理层认为发展商原订的内部管理条例或大厦公契有其可取之处,他们则须通过增订附加管理条例之程序,将当中一部分内容通过特别提案来纳入其中。

当前的管理条例肯定有其未尽善之处,这包括未触及如何管制非法民宿或爱彼迎(Airbnb)借宿之活动、对丧府之规定或安排、将某个单位转作殡仪馆或者出售棺木等,还有未授权管理层移走遭遗弃或废置的车辆或电单车、以及如何对付非法扩建或展开装修工程之业主。

这些层面的问题肯定有劳管理层,通过本身所委任的产业经理或是外聘律师,来协助研究及草拟附加管理条例的工作,再通过召开大会并提呈特别提案来弥补之。

罚款不可超过200

根据管理条例第7(1)条款,管理层可寻求常年大会或特大通过提案,对任何违反管理条例者处以罚款,而其罚款额可以通过大会作决定。

这意味着共管机构或管理机构,可以在不增订附加管理条例的情况下,只需要一般14天的大会通告,即可以通过召开大会来提呈这类提案。

不过,若管理层要把这个罚款纳入管理条例内,则必须通过增订附加管理条例的情况,包括给予21天的大会通告来提呈。

不管怎样,2013年分层管理法令有规定,任何罚款额每次皆不可超过200令吉。换句话说,若某个业主违规停车面对罚款100令吉,不管是一天或者是多天,每一次犯规则只能罚款100令吉。

若这个业主违规停车一次长达5天,直至5天后才将车辆移开,管理层不能向对方收取5天共500令吉的罚款。
