发展商擅改建材 买家有权索赔

未经买方书面同意更改建材,
发展商这次赔大了。

如果发展商更改了买卖协议中规定的建筑材料,买方的权利是什么?

案情:

1.在这起提交到联邦法院作出最终裁决的案件,上诉方(“买家”)是雪兰莪州雪邦Taman Mas一个名为Golden Heights房屋发展项目第三期6个公寓单位的买家,而答辩方则是该项目发展商。买家和发展商是依据1966年房屋发展(管制与执照)法令签署买卖协议,而该协议在该法令下是一份法定销售合约。

2.买家指控发展商在未经买方书面同意的情况下,将物业外砖墙的建筑材料从蒸压加气混凝土砌块(aerated concrete building block)改为柔芯(flexcore),违反了买卖协议第12条文。

高庭判决:

1.高庭批准了买家的索赔。本次上诉的关注点,是高庭决定批准买家因发展商违反买卖协议第12条文,提出损害赔偿的要求。

2.高庭助理司法常务官评估的损害赔偿总额为38万零500令吉,连同利息和费用。这笔款项是根据买卖协议第12条文,赔偿予买家的6个单位更换/维修费用。在评估程序中,买家已提交由其承包商N-Tatt Construction Sdn Bhd准备的报价,作为他们索偿的证据。

3.发展商提出的反对,仅针对高庭助理司法常务官判给的损害赔偿金额,而且仅基于以下两个理由:

(i)损害赔偿金额是过度和不合理的;

(ii)它仅基于一个报价,应该提供更多报价,以确定报价中特定工作的必要性

上诉庭裁决:

1.上诉庭推翻高庭的判决,并认为有关报价不是买方遭受损害的证据。

2. 显然,上诉庭要求买家证明,他们确实对物业进行了修复工程,并在他们要求损害赔偿之前已支付了款项。

换句话说,买方不能仅依靠报价来证明损害赔偿。他们必须提供他们已花费在修复工程上的金额的证据,然后才能向发展商索赔此类工程的费用。

3. 本次上诉的关键问题,是上诉庭认为报价不构成买方遭受损害的证据,是否正确。

联邦法院判决:

1. 联邦法院提及英国的案件,即英国法院裁定赔偿损失,尽管索赔者没有进行补救工作,以纠正工程中的缺陷。

2. 买方初步有权获得用蒸压加气混凝土砌块更换flexcore的费用,因为这将使他们能获得买卖协议中阐明的建筑材料,而有关报价提供了金额的初步证据,这“将可符合修复工程的费用”,其中包括拆除现有的墙壁。

3. 联邦法院推翻了上诉庭的判决。由于没有其他任何证据,上述总额38万零500令吉的损害赔偿,必须被视为修复工程的合理成本。

结语:

1.发展商有义务完全遵守买卖协议,并使用其中规定的建筑材料,否则买方有权要求赔偿损失,或更换/修复工程的费用。

2.在评估损害赔偿时,报价是证明损害赔偿或补救工程费用的表面证据。在本案中,联邦法院并没有要求提供买家已花在修复工程上金额的实际证据。

巴生谷产业转型 展新力量

发展商蓄势待发,
房市赶搭好景周期列车。

在各种新趋势的涌现、新科技的运用,以及许多建筑物更改用途的推动下,巴生谷产业市场正在转型。

无论是住宅、工业产业、办公空间、零售单位及酒店,都在个别领域供需因素和疫情洗礼下,进行不同程度的转变,有者是为了迎合消费者的最新需求,有者则但求在激烈竞争下继续求存。

以下是巴生谷个别产业领域巡礼和展望。

房产:蓄势待发

房产市场的复苏,将取决于本地购屋者,他们是推动住宅市场的火车头。

因此,了解和迎合他们的需求,将是房市长期复苏的关键。

事实上,巴生谷房产市场目前正复苏,而可负担房屋和40%中产阶级(M40)预料将引领市场反弹。

纷收购优质地皮

多家发展商也在看好房市复苏前景下,纷纷收购地点优越、交通便利的地皮,填补公司地库之余,也抢先卡位,以适时坐上房市下个好景周期的列车。

其中,马星集团(MAHSING,8583,主板产业股)就以8900万令吉,购入吉隆坡文良港云顶吉冷路5亩地段,命名为M Astra的综合产业发展项目,发展总值初步估计为6亿1800万令吉。

马星集团也以9500万令吉,向Nation控股私人有限公司(Nation)收购占地8.09亩的空地,发展总值超过7亿9000万令吉,命名为M Nova的综合产业项目。这也是该集团在甲洞的第三个发展项目。

双威(SUNWAY,5211,主板贸服股)以2亿3339万令吉,接手莫实得(BSTEAD,2771,主板工业股)位于吉隆坡葛京路(Jalan Cochrane)6.59亩永久地契地皮。双威计划在该地发展综合项目,包括服务式公寓及零售单位,发展总值至少11.5亿令吉。

双威也出资4200万令吉购买一块3.34亩,位于吉隆坡珍珠花园(Taman Mutiara)附近的永久地契土地,计划开发一个包含联排别墅、公寓的住宅项目,该项目预计今年上半年动工,2026年竣工,并从今年起对双威的盈利作出贡献。上述收购也是双威产业2021年第一项土地收购活动,因该公司有信心房产市场将迎来复苏。

UEM阳光(UEMS,5148,主板产业股)以1亿9700万令吉收购蕉赖康乐花园捷运站旁6.86亩土地,准备用作房地产发展,预计项目发展总值将达10亿令吉;首阶段发展计划将在2022年推出。

度身定制新楼盘

振兴产业(CHGP,7187,主板交通和物流股)则出资2亿6800万令吉收购81.9亩的土地,计划在巴生谷发展5项不同类型的产业项目,包括公寓、办公楼等,项目版图涵盖雪州双文丹、金銮镇,吉隆坡孟沙南城和赛城。

该集团正进行和未来规划的发展项目,去年和今年这2年内的发展总值将达37亿3000万令吉。

事实上,去年新推出的新房产项目有限,意味着今后两三年的新楼盘将相对大增。

一些规划中的新发展项目,是特地针对购屋者已改变的新需求度身定制。

有地房产仍主宰市场

在高档房产方面,发展商目前的策略是小量推出新单位,先试水温,而且是以购屋者预订方式推出。

不仅发展商看好新屋市场,即使是二手房屋市场,也已在去年明显复苏。

根据国家产业资讯中心(NAPIC),巴生谷二手屋市场去年首9个月的交投已恢复疫情爆发前水平,更呈价量齐升势头,成交量和总值分别按年上扬13%和28%。

同样的,平均每间住宅交易价格也按年增长13%。

威廉氏达哈与王有限公司(CBRE|WTW)集团董事经理符儒仁指出,有地房产依然主宰市场,占总成交量63%,雪州八打灵县、乌鲁冷岳和巴生县是成交量最多的地区。

截至去年第三季,巴生谷现有房产供应量为197万间,比2020年同期按年增长2.8%。新落成单位按年增长12.2%,达30万8000单位,其中大部分是共管公寓和服务式公寓,占总数71.7%。

计划中的新高楼住宅减少,令巴生谷计划中的房产供应量放缓3.9%,但仍多达约18万5000单位,其中吉隆坡仍是巴生谷高楼住宅焦点。

相反的,计划中的有地房产增长8.4%,达4万9000间,而且大部分坐落在巴生谷南部,即雪州半城乡地区的瓜拉冷岳和雪邦两县。

由于大马国门持续封锁,去年底重启的马来西亚我的第二家园(MM2H)收紧门槛,令外国人持有房产比重收缩,高档房产销售也日益依赖本地购屋者。

工业:一枝独秀

电子商务井喷式的增长,推动了货仓空间的需求,也带动了吉隆坡、巴生北区和莎阿南发展成熟工业区货仓的交易。

此外 ,企业和商家们对改善存货规划的要求与日俱增,以减低供应链中断带来的冲击。

员工宿舍是工业产业领域的新推手。疫情令员工宿舍的各种问题,包括空间拥挤、设施老旧和简陋不堪、卫生条件欠佳等缺点一览无遗,也令当局加强对员工宿舍的管制,刺激企业和商家们为符合防疫条件,兴建全新员工宿舍或改善与提升员工宿舍的需求。

沈颂能

交投升温租金率持稳

大马莱坊资本市场执行董事沈颂能认为,短期至中期内 ,大马经济重启及经济活动恢复正常,料将刺激工业产业需求,令该领域延续去年下半年的强劲走势。

他指出,就巴生谷而言,莎阿南和巴生发展成熟工业区的工业单位,今年的平均租金率料将持稳。

截至去年下半年,莎阿南和巴生特定制造业设施与物流/配送中心的平均租金率保持稳健,其中莎阿南有关产业月租估计保持2020年的每平方尺1令吉80仙至2令吉20仙水平,巴生则从2020年的1令吉30仙至1令吉50仙,稍微走强到1令吉30仙至1令吉60仙。

与此同时, 自去年10月11日放宽行动管控,重启经济后,工业产业领域的交投也于去年下半年升温,出现数宗重大交易。

这包括WCT控股以1亿2500万令吉,收购雪州双文丹一片占地382.76亩的工业地;大稳控股以3500万令吉收购巴生占地4亩的独立式工业建筑物,以及Greenway Links以4500万令吉收购八打灵县占地4.92亩的独立式工业建筑物。

回首去年上半年,八打灵县和巴生县继续占据巴生谷工业市场半边天,分别占这期间工业产业总成交量的24.2%和22.7%。

新工业产业巴生居冠

截至2021年6月底,巴生谷累积现有工业产业共有4万6316单位,兴建中的工厂和货仓共有1289单位,规划中的单位则有1716个。

同样的,大部分的现有工业产业坐落在八打灵和巴生两县,分别占31.1%和18.5%。

不过 ,在未来新增供应方面,巴生是巴生谷之冠,兴建中的单位为411个,规划中的单位则是934个。

屈居第二位的八打灵县兴建中的单位有302个,但没有任何规划中的工业单位。

沈颂能指出,这或显示八打灵县的工业发展已经饱和,未来可供工业发展的土地有限。

办公:提升体验

尽管经济已几乎全面重启,但办公市场预料仍将耗费一段时日,才能恢复疫前水平。

大马莱坊指出,这是因为一些企业,尤其是跨国公司,仍在评估未来的职场作业策略。

随着越来越多的企业朝向混合式工作安排,即部分员工居家作业,以及部分员工回公司上班,提升实体办公体验非常关键。

共享空间更红火

符儒仁指出,共享工作空间(Co Working) 的供应与日俱增,它非但可根据企业租户的需求灵活调度,而且租约配套也是可以灵活调整,今后料将成为国内办公市场的的新趋势。

为了永续的经营,一些企业已设立替代的工作场地,并和居家作业方式整合。

莱坊同样指出,共享工作空间料将更为红火,因为它允许企业随时增加或缩减所需的空间,以及在有关空间作业的人数,无需被长期租约捆绑。

但莱坊认为 ,无论企业的员工工作模式如何转变,人与人之间的接触和协作,仍是不可或缺的一环,尤其是那些讲求团队合作的职场更是如此。

因此,实体办公室还是可继续存在,但人们对办公环境的要求将会更高,提高办公环境素质,以及设施需更为齐全。

在个别领域租户方面,疫情以来一直表现很好的电子商务、物流、医疗保健与卫生、保险、科技和商业流程外包(BPO)领域今年料继续强稳,对实体办公空间的需求更大。

短期内 ,全马各地尤其是巴生谷办公楼的租金率和租用率料将持续下行。

双租料持续下行

由于许多企业在疫情期间缩小营运规模,或是搬迁到租金较为廉宜的办公空间,有更多的办公楼面临许多空置问题。

截至2021年下半年,巴生谷累计办公空间供应量约为1亿1260万平方尺。其中,吉隆坡市区特建办公楼的租用率从2021年上半年的67.9%,估计于去年底进一步下滑至65.5%,雪兰莪州则从75.8%走低至74.2%。

然而,吉隆坡市郊则相对持稳,租用率从去年上半年的85.9%,进一步攀升至86.1%。

目前是租户主导的市场,因此许多业主为了留住租户,保持办公空间租用率,更愿意和租户洽谈,并提供更具竞争力的租约配套,这已导致巴生谷尤其是吉隆坡市区租金处于下跌趋势。

截至去年底,吉隆坡市区办公空间平均租金率从2021年上半年的每平方尺6令吉87仙,估计于去年底下滑至6令吉79仙。

吉隆坡市郊办公空间月租从每平方尺5令吉69仙下跌至5令吉60仙,雪州则从4令吉15仙走低至4令吉10仙。

然而,中长期而言,雪州办公市场相对持稳。

这主要由3大利好因素支撑,即:

(一)租户更多;

(二)租金和租约富吸引力;

(三)公共交通网络改善,继续推动市郊的办公空间需求。

酒店:适者生存

国门迟迟未全面重开,酒店业过去2年来只能全靠本地游客求存。

去年上半年,入境游客按年暴跌85%,只有区区5万人。

酒店业要继续存活,唯有削减营运开销,以及开拓替代收入来源,例如餐饮部门推出各种配套。

零售:见招拆招

地点优越,内部各类零售应有尽有的购物中心,仍保持良好的人流量。

商场内空间庞大 ,并进行小型展览和促销活动,已是购物商场的过去式,如今不再管用。

然而,商场却可善用这类空间,通过灵活租约扩大餐饮区和销售,来取得额外的营收。

地产不好做 宁降薪也要转行

以前是“躺着赚”,
现在是“赶快走”!

中国有三大高薪行业,那就是房地产、金融和互联网。

但如今却出现一个新的现象,地产从业员宁可降低薪水,也要赶快转行,去其他新兴行业或稳定行业。

一名刚脱离房地产行业的前地产人,接受《第一财经》报道时无奈说:“我们就像风口上掉下来的猪,过去习惯了高薪,现在却要开始低头学习。”

近两年楼市调控越来越严厉,地产行业在政策裹挟下走得异常艰难。

而且,随着近三年地产行业下行,业界早就出现总裁、区域主管过剩的现象,各家房企也纷纷开启裁员,“有先见的人”则主动逃离地产圈。

最新数据显示,龙头万科的员工人数从13万的巅峰大幅下跌,公司近一年人员数量降了20%;合景泰富、富力、泰禾等房企员工人数一年大降超过30%。

已是夕阳行业?

从名校毕业的“95后”硕士叶小落(化名)最近选择从一家华东知名房企离职,回想2018年她成为该房企校招管培生时,当时研究生月薪起步就是两万元以上,还有很高的房补,管培生晋升通道明确。

但看似名利双收的坦途,经历了忙碌到无休息时间,以及各种办公室政治,却在2021年再也撑不下去。在她严厉,地产行业已经是“夕阳行业”了。

但她过去3年积累的营销经验和资源人脉,在其他行业几乎是毫无用武之地。曾经她在房企工作的年薪超过35万人民币(22.53万令吉),但她现在任职的创业公司,年薪仅有18万人民币(11.59万令吉)。

叶小落的情况到处可见,许多业界人士透露,近期很多人跳槽去了互联网、央企国企,就算降薪20、30万的也大有人在.

不仅人员大减,地产行业的薪酬也越走越低。根据克而瑞研究中心统计,80家典型上市房企薪酬总量增速已经连续3年收窄,2020年人均薪酬首次出现下降,50分位值为每年18.3万人民币(11.78万令吉),高管薪酬按年下降5%。

不敢拿地 中国房企赚钱难

不做是等死,做了是找死。

不拿地,没地方发展项目赚钱;拿了地,又怕未来不赚钱。

这是中国许多房地产公司目前的最大挑战。

中国自媒体燃财经点出,杭州市规划与自然资源局最近公布,终止挂牌第二批集中供应的31宗住宅地块,这也是深圳、天津、青岛、苏州、济南之后,再有大城市延期或中止集中供地活动。

市场传出,虽然官方解释这是为了要进一步做好调控,但还有很多人认为,杭州此举是因为发展商参与热情度过低,尤其是民企。

“连地都不想拿了”,这也折射了房企处境的艰难,毕竟土地是房企的粮仓。

有些甚至亏着做

什么时候,发展地产项目突然成了一门亏本生意?

一位房地产上下游链条企业人士透露:“合作的一家房企,手头的一个项目要免费建造将近三分之一的房子,利润率已经低于5%了。现在不做是等死,做了是找死。”

而且,5%的利润已经非常优秀,因据了解,有家发展商做了北京首轮供地的完整复盘,和很多房企对接了成本数据,结论是几乎所有地块的利润率都是亏的,少的负1、2个点,最多的昌平两块地:负12、13个点。”

“但没办法,业务还是得做。地还是得继续拿。尤其是第一轮集中供地没有拿地的企业,第二轮肯定得拿,不然‘无米下锅’。”

中国房地产龙头老大 怎么了?

恒大地产换帅,
意味着什么?

作为中国房地产的龙头老大,恒大地产(Evergrande Real Estate Group)的一举一动都备受外界关注,尤其是最近一直深陷债务压力。

在本周,恒大地产为市场投下震撼弹,更换董事长、总经理和法人。其中,灵魂人物许家印写下董事长,柯鹏卸任总经理、法人代表等职位。

而新的董事长、总经理和法人代表变成赵长龙,他也是恒大物业集团有限公司执行董事兼副董事长。受到此消息影响,恒大股票和债券当日都大跌。

之后,又传出人民银行、银保监会相关部门,约谈恒大集团高管,并要求该集团努力保持经营稳定,积极化解债务风险,维护房地产市场和金融稳定,还得依法依规做好重大事项真实信息披露,不传播并及时澄清不实信息。

政府调控楼市冲击发展商

到底这房地产龙头,怎么了?

从2019年后,恒大地产业务已经开始降速了,加之近期恒大爆发出一些流动性危机,一个很重要原因也在于地产业务支持力度减少了。

过去几十年来,房地产发展可说是中国最赚钱的行业之一,但经过大量炒房客的推波助澜后,房价越来愈高,人民也无法负担,引起中央政府出手调控,更强调:“坚持房子是用来住的、不是用来炒的定位”。

在各种严厉的打房政策下,过去过度举债的发展商,因为资金出现短缺,而陷入债务危机。

“三条红线”限制

其中一项对发展商造成重伤的条例,就是“三条红线”:剔除预收款后的资产负债率不得大于70%,净资产负债率不得大于100%,现金短债比小于1。如果不达标,将不得再增加有息负债规模。

而近期,恒大地产“债台高筑“的新闻频频见报,还不断减持资产,包括恒腾网络、嘉凯城等等,倒也证明了该集团确实有负债过高的情况,市场估算高达1.9兆人民币(约1.24兆令吉)。

减少对房地产依赖

说到恒大地产换帅,但其实这只是借壳深深房A回归A股被终止后的正常变动,不会涉及管理架构和股权的变化。换句话说,许家印作为中国恒大集团董事局主席和恒大地产集团实际控制人身份并没有发生变化。

恒大地产集团是中国恒大集团的子公司,在2017年8月之前,恒大地产的董事长、总经理和法人一直由赵长龙担任。

分析人士认为,这次许家印卸任恒大地产董事长后,可以专注债务问题和其他重点业务如新能源汽车。
